1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between ISYA Consulting LLC, a Florida limited liability company ("ISYA," "Company," "we," "us," or "our"), and you, the individual or entity accessing or using the Site or Services ("you" or "User"). By accessing isya.us (the "Site") or using any Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site or Services.

2. Services

ISYA provides the following Services:

Digital products, including downloadable guides, templates, workbooks, and tools;

Online courses and educational programs;

Membership programs providing access to content and community;

3. Eligibility

4. Account Registration

Certain Services require account creation. You agree to:

5. Purchases, Payment, and Pricing

5.1 Payment

All purchases are processed through our third-party payment processor. By completing a purchase, you authorize ISYA to charge the payment method provided at the price listed at the time of purchase. All prices are in U.S. Dollars and are subject to applicable taxes.

5.2 Pricing

ISYA reserves the right to change prices for any Service at any time. Price changes will not affect purchases already completed.

5.3 Memberships and Recurring Billing

If you enroll in a membership or subscription-based Service, you authorize ISYA to charge the applicable recurring fee at the start of each billing cycle. 5.4 Failed Payments

If a payment fails, ISYA reserves the right to suspend access to your Services until payment is successfully processed.

6. Intellectual Property

6.1 ISYA Content

All content on the Site and within the Services, including text, graphics, images, audio, video, course materials, frameworks, methodologies, templates, and software (collectively, "ISYA Content"), is owned by or licensed to ISYA and is protected by United States and international copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms and payment of applicable fees, ISYA grants you a limited, non-exclusive, non-transferable, revocable license to access and use ISYA Content solely for your personal, non-commercial use in connection with the Services.

6.3 Prohibited Uses

You may not:

Reproduce, distribute, modify, or create derivative works of any ISYA Content;

Share, resell, or sublicense access to any course, membership, or digital product;

Record video or audio of any live sessions or coaching calls without prior written consent;

Use ISYA Content for commercial purposes without prior written authorization;

Represent ISYA's methodologies, frameworks, or materials as your own.

6.4 User Submissions

If you submit content to ISYA (including testimonials, comments, or feedback), you grant ISYA a non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and display such content for any business purpose.

7. Digital Products and Course Access

7.1 Access

Upon purchase, you will be granted access to the purchased digital product or course in accordance with the terms described on the applicable product page. Access is granted for your personal use only and may not be shared, transferred, or resold.

7.2 No Physical Delivery

All products are delivered digitally. No physical goods will be shipped.

7.3 Access Duration

Unless otherwise stated, access is provided for the period described on the product page. ISYA reserves the right to terminate access upon material breach of these Terms.

8. Memberships

8.1 Membership Terms

Membership programs provide access to content, community, and resources as described on the applicable membership page. Benefits may change over time with reasonable notice.

8.2 Cancellation

You may cancel your membership at any time by contacting [email protected]. Cancellation takes effect at the end of the current billing period. No partial refunds will be issued for unused portions, except as provided in the Refund Policy.

9. Consulting and Coaching Services

9.1 Nature of Services

ISYA's consulting and coaching services are provided for educational and informational purposes only. Nothing in these Services constitutes legal, financial, accounting, medical, or other professional advice. Results depend on factors outside ISYA's control, including individual effort, experience, and market conditions.

9.2 No Professional-Client Relationship

Engaging in consulting or coaching services does not create an attorney-client, accountant-client, therapist-client, or other regulated professional relationship between you and ISYA.

9.3 Scheduling

Specific scheduling, rescheduling, and cancellation terms for consulting sessions will be communicated at the time of purchase and are subject to the Refund Policy.

10. Prohibited Conduct

You agree not to:

Use the Site or Services for any unlawful purpose or in violation of any applicable law or regulation;

Impersonate any person or entity or falsely represent your affiliation with any person or entity;

Interfere with or disrupt the Site or Services or any servers or networks connected thereto;

Upload or transmit any viruses, malware, or other harmful or disruptive code;

Engage in conduct that is harmful, offensive, defamatory, or harassing;

Attempt to gain unauthorized access to any portion of the Site or Services;

Use automated tools, scrapers, or bots to access the Site without prior written consent.

11. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ISYA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ISYA SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ISYA, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, EVEN IF ISYA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, ISYA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO ISYA IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless ISYA and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your infringement of any intellectual property or other right of any third party; or (d) your submission of any content to ISYA.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

14.2 Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt resolution through good-faith negotiation. If not resolved within thirty (30) days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with arbitration to take place in Broward County, Florida.

14.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

15. DMCA Notice

ISYA respects intellectual property rights. If you believe content on the Site infringes your copyright, submit a notice to [email protected] containing: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good-faith belief that use is not authorized; (e) a statement of accuracy and authority; and (f) your electronic or physical signature.

16. Termination

ISYA reserves the right to suspend or terminate your access to the Site and Services, at any time and for any reason, including breach of these Terms, with or without prior notice. Upon termination, all licenses granted herein cease immediately. Sections 6, 11, 12, 13, 14, and 17 survive termination.

17. Miscellaneous

Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force. Waiver: Failure to enforce any right does not constitute a waiver. Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between the parties regarding the subject matter hereof. Notices: All legal notices to ISYA shall be sent to [email protected].

18. Changes to Terms

ISYA reserves the right to modify these Terms at any time. Material changes will be communicated by posting the revised Terms with a new "Last Updated" date. Continued use following any changes constitutes acceptance.
